Contract Law with Multi-unit sales

Private contract enforcement often depends on the collective actions of individual
agents. For instance high rates of credit default obstruct enforcement of duties to
perform, and individuals indi¤erence to infringing on the property rights of owners
can render private contracts ine¤ective. We develop a theory of contracting enabling
private parties to internalize the e¤ects of their behavior on others and of enforcing
private provisions that yield positive spillovers
